Welcome to Backtest Labs. These Terms of Service ("Terms") govern your access to and use of Backtest Labs LLC ("Backtest Labs," "we," "our," or "us") products and services. By using our site or creating an account, you agree to these Terms. If you do not agree, please do not use our services.

1. Eligibility & Accounts

• You must be at least 13 years old to use Backtest Labs.
• You are responsible for maintaining the security of your account and login credentials.
• You agree to provide accurate information when creating an account.

2. Use of Services

• Backtest Labs provides tools to backtest stock trading strategies against historical market data.
• The platform is for educational and informational purposes only.
• We do not provide financial, investment, or trading advice.
• You may not use the platform for any illegal purpose or in violation of applicable laws.

3. Subscriptions & Payments

• Backtest Labs offers multiple subscription tiers: Free, Core, Advanced, and Professional. Each tier provides different feature access and usage limits. Details are available on our Pricing page.
• Payments are processed securely through Stripe and PayPal.

Refund Policy:

• Subscriptions are non-refundable.
• Accounts will downgrade to the free plan at the end of the paid subscription period unless renewed.
• In rare cases, a prorated refund may be offered for annual subscribers, at our sole discretion.

4. User Content & Ownership

• You retain ownership of the strategies and content you create on Backtest Labs. By using the platform, you grant Backtest Labs, LLC a non-exclusive, royalty-free license to store, process, and display your strategies solely to provide and improve the Service. This license terminates when you delete your content or account.
• You represent and warrant that you have all necessary rights to any content you create or upload.
• We may use aggregated and anonymous insights from strategies and user activity to improve the platform.
• Users may not resell, distribute, or commercially exploit strategies or platform features without permission.

5. Prohibited Uses

You agree not to:

• Attempt to hack, disrupt, or compromise the security of the platform.
• Scrape, copy, or collect data from the platform without authorization.
• Resell or sublicense access to the platform.
• Abuse, harass, or harm other users or interfere with normal platform operation.

6. Intellectual Property

All content, branding, design, and code on Backtest Labs are the intellectual property of Backtest Labs, LLC. Unauthorized use is prohibited.

7. Disclaimer of Warranties

• Backtest Labs is provided "as is" and "as available."
• We do not guarantee that results generated by the platform are accurate, reliable, or suitable for financial decision-making.
• Nothing on Backtest Labs constitutes financial advice or an offer to buy or sell securities.
• Use of the platform is at your own risk.
• Past performance is not indicative of future results. All backtest results shown on this platform are hypothetical, based on historical data, and do not represent actual trading or investment performance.
• Any code exported from the platform (including but not limited to Pine Script, Python, or other formats) is provided "as is" without warranty of any kind. Exported code is intended for educational and informational purposes only and may require modification to function on third-party platforms. Backtest Labs makes no guarantees regarding the accuracy, completeness, or performance of exported code.
• Backtest Labs does not provide financial, investment, or trading advice. Any use of strategies, signals, or exported code for actual trading is done entirely at your own risk. You are solely responsible for any trading decisions you make based on platform output.

8. Limitation of Liability

To the maximum extent permitted by law:

• Backtest Labs, LLC will not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to: trading losses, lost profits, loss of data, or financial damages of any kind, resulting from your use of the platform, reliance on backtest results, or use of exported code on any third-party platform.
• This limitation applies regardless of whether such damages were foreseeable or whether Backtest Labs was advised of the possibility of such damages.
• Your use of exported code on third-party platforms (including but not limited to TradingView, brokerage platforms, or any trading system) is entirely at your own risk. Backtest Labs bears no responsibility for how exported code performs, is interpreted, or is executed outside of our platform.

9. Indemnification

You agree to indemnify, defend, and hold harmless Backtest Labs, LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the platform;
• Your violation of these Terms;
• Your violation of any third-party rights; or
• Any content you submit or share through the platform.

10. Termination

• You may request account deletion at any time. If you have an active paid subscription, your paid access continues until the end of your current billing period. Your account then enters a 30-day grace period on the Free tier, during which you may log in and restore your account. After 30 days, all data is permanently deleted.
• We may suspend or terminate your account if you violate these Terms or misuse the platform.

11. Changes to Terms

We may update these Terms from time to time. If we do, we will post the revised Terms with an updated "Effective Date." Continued use of Backtest Labs after changes means you accept the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of North Carolina, United States.
